Charitable Trust Management Board -
Operating Principles

 

1. The CTMB consists of nine (9) members, four (4) of whom have pre-designated positions: - the NCA First Vice-President, NCA Treasurer, Chair of the NCA Rescue Service, Chair of the Newfoundland Health Challenge and five (5) members serving for three (3) year terms appointed by the NCA Board of Directors acting as NCA Trustee for the NCA Charitable Trust. If any committee has co-chairmen, then one co-chair will be a member of the CTMB. If any committee listed no longer exists, an additional At-large member will serve. In the event a CTMB member serves in two (2) of the pre-designated positions appointed annually by the NCA Board, then an additional At-large member will be appointed to the CTMB by the NCA Trustee for a one year assignment to maintain a total of nine members. The 2006 initial appointments of the three (3) At-large members by the NCA Trustee are for one, two and three year assignments respectively. In both 2007 and 2008, a one (1) three-year assignment will be made replacing the respective At-large member whose term is expiring. With this process, the cycle of three year rotational assignments would be fully established at the commencement of the fourth year (2009) of CTMB operation. The NCA Trustee at its Annual Meeting shall appoint the CTMB members.

2. Annually, the CTMB will elect the following CTMB officers from its board: Chairman, Vice-Chairman, Secretary and Treasurer. The NCA First Vice President is not eligible to be elected as CTMB Chairman. The CTMB will conduct its election of officers following the NCA Trust’s Annual Meeting where the appointments, as defined in Principle #1, are made and subsequently accepted by the respective nominees. The Trustee may convene a meeting at any time to fill vacancies that may occur on the CTMB.

3. The CTMB may provide input to the NCA Trustee on candidates being considered for appointment to the CTMB as At-large members.

4. The CTMB is responsible for managing the operating and financial activities of the NCA Trust’s Newfoundland Health Challenge (NHC), Research Advisory Committee (RAC) and Junior Scholarship Committees. The CTMB manages the financial activities of the NCA Trust’s Rescue & Referral Committee as further described in Principles # 5 and 6. The CTMB also grants and manages the disbursement of Trust funds awarded to other NCA Committees as further described in Principle # 7.

5. The CTMB is responsible for managing the NCA Charitable Trust assets, developing trust funds and investing funds to earn prudent returns. Financial management activities include: coordinating and approving grants for Newfoundland health initiatives (RAC), approving scholarships for NCA Junior members, and approving rescue disbursements in accordance with NCA Trustee policies.

6. CTMB will submit an annual operating budget to the NCA Trustee for review, approval and submission to the Newfoundland Club of America, Inc., for it’s annual operating grant. The CTMB annual budget will include operating budgets from the NHC, RAC, Junior Scholarship and Rescue Network and its own operating budget. The CTMB is responsible for managing this NCA annual operating grant; no donations made to the NCA Charitable Trust will be used in lieu of this grant or for any other operating expenditures incurred by the CTMB or the entities financially accountable to the CTMB.

7. The CTMB is responsible for disbursing and managing trust funds granted to other NCA Committees for approved purposes, which are delineated in the official, controlling documents of the NCA Trust. Committees seeking such funds must first submit proposals to and receive approval for the grant application from the NCA Board in advance of submitting requests to the CTMB for action.

8. The CTMB will prepare a monthly, written Financial Report of the NCA Charitable Trust. A quarterly Financial Report of the NCA Charitable Trust will be submitted to the NCA Trustee. (Sample Report attached.)

9. The CTMB will manage the committees directly accountable to it in accordance with the CTMB’s Committee Procedures. (Attachment “F” to Enclosure 2)

10. The CTMB may recommend the establishment of additional CTMB committees or positions to and by the NCA Trustee.

11. The CTMB will establish and maintain a Manual of NCA Charitable Trust Policies and Procedures. This Manual will include all pertinent information on and for the activities of the CTMB, all committees assigned to the NCA Trustee or CTMB, and for the NCA Trustee generated from meeting minutes.

12. The CTMB will provide an annual written report on its activities to the NCA Trustee each February and will also provide a copy to the NCA membership thru Newf Tide. The Annual Report will include the current CTMB Financial Report on the NCA Charitable Trust. The Newf Tide report will also include the annual individual reports from the (CTMB) Newfoundland Health Challenge, Research Advisory Committee and Junior Scholarship Committees.
